These Terms & Conditions ("Terms") govern your access to and use of PS23 PA, a product of PS23 Ventures (Pty) Ltd, registration number 2024/309040/07 ("PS23 Ventures", "we", "us", "our").

By creating an account or using the Service you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms. If you are registering on behalf of a business, you represent that you have authority to bind that business.

If you do not accept these Terms, do not use the Service.

PS23 PA is an AI-powered business assistant that generates documents, content, and business tools for South African entrepreneurs, freelancers, and SMEs. The Service includes document generation, marketing content, SA-specific business tools, task management, and billing features.

The Service is provided via a web application at ps23pa.app and, in future, via native mobile applications.

You must provide accurate and complete registration information. You are responsible for maintaining the security of your password and for all activity that occurs under your account. Notify us immediately at ps23support@gmail.com if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

PS23 PA operates on a freemium model with paid subscription plans and optional credit packs:

• Free plan: 10 document generations per day at no charge.
• Pro — R149/month: 300 generations per month.
• Business — R299/month: 800 generations per month.
• Enterprise — R799–R1 499/month: Custom usage.
• Credit packs: One-time top-ups at R20 / R50 / R100 / R250.

Subscriptions are billed monthly in South African Rand via Paystack. Prices are inclusive of VAT where applicable. We reserve the right to change pricing with 30 days' notice.

Refunds:Credits and subscription fees are non-refundable except where required by the Consumer Protection Act 68 of 2008 ("CPA"). If you believe you are entitled to a refund under the CPA, contact ps23support@gmail.com within 6 months of the transaction.

You agree not to use the Service to:

• Generate content that is unlawful, defamatory, discriminatory, or harassing under South African law.
• Infringe the intellectual property rights of any third party.
• Create fraudulent documents, counterfeit financial instruments, or misleading contracts.
• Circumvent, disable, or interfere with security features of the Service.
• Resell, sublicense, or commercialise the raw output of the Service as a competing AI product.
• Attempt to reverse-engineer, scrape, or extract model weights or system prompts.
• Upload or transmit malware, viruses, or malicious code.

We may suspend access immediately and without notice for material breaches of this clause.

Content generated by PS23 PA is produced by an AI model and is provided for informational and productivity purposes only. It does not constitute legal, financial, tax, or professional advice.

You are solely responsible for reviewing, editing, and verifying all generated content before use. In particular:

• Generated contracts and agreements should be reviewed by a qualified attorney before execution.
• Generated financial documents (quotes, invoices) should be verified for accuracy before issuing to clients.
• Generated tender or funding applications are drafts only and must be reviewed for compliance with the relevant procuring entity's requirements.

PS23 Ventures makes no warranty that AI-generated content is accurate, complete, legally compliant, or fit for any particular purpose.

Your content: You retain ownership of the inputs you provide and the outputs generated for you. By using the Service you grant PS23 Ventures a limited, non-exclusive licence to process your inputs solely to provide the Service.

Our content: The PS23 PA brand, software, user interface, system prompts, and all underlying technology remain the exclusive property of PS23 Ventures. Nothing in these Terms transfers any intellectual property rights to you.

Our collection and use of your personal information is governed by our Privacy Policy, which forms part of these Terms. By accepting these Terms you also accept the Privacy Policy.

To the maximum extent permitted by South African law, PS23 Ventures' total liability to you for any claim arising out of or relating to the Service shall not exceed the amount you paid to PS23 Ventures in the 3 months preceding the claim.

PS23 Ventures is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, whether arising in contract, delict, or otherwise.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under the CPA or POPIA.

We aim to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages (Supabase, Vercel, Anthropic, Paystack), or circumstances beyond our control may affect availability.

You may close your account at any time via the Settings page. We may suspend or terminate your account for breach of these Terms, non-payment, or if required by law.

On termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination.

We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Republic of South Africa. Any dispute that cannot be resolved by negotiation shall be referred to the jurisdiction of the Gauteng Division of the High Court of South Africa.
